Welcome to the Cochlear File Transfer System (“System”). Your use of the System is subject to your acknowledgement of and agreement to these terms and conditions. In these terms and Conditions, “Cochlear” means Cochlear Limited and where the context requires, it also includes a subsidiary or affiliate of Cochlear Limited.
- For security reasons all of your access to the System and actions in relation to the System will be logged. This will include whether you upload and/or download any documents, data, files or information (“Content”) to or from the System.
- Cochlear may terminate your access to the System and/or to any Content at any time without notice to you and for any reason, or no reason.
- You must treat all Content on the System as confidential and you must not disclose it to any person except where you are permitted to do so by a confidentiality or non-disclosure arrangement between you and Cochlear.
- You must only use Content for the purposes for which Cochlear gives you access to the System (“Approved Purpose”). You must return all Content to Cochlear upon our request or when the content is no longer needed for the Approved Purpose.
- You must comply with all laws and regulations applicable to your access to and/or use of the System or any Content, including any laws and regulations in relation to privacy or data protection.
- Your login details are personal to you. You must not give your login details to any other person nor allow any other person to use your login details or otherwise to access the System.
- You must not upload or otherwise transmit to the System any Content which contains software viruses or other harmful or deleterious computer code or programs.
- Where Content is a software program, you must only use that software if you are in possession of and in compliance with a valid licence for the software.
- Except as Cochlear may agree otherwise with you, you do not obtain any ownership rights or licence rights in or in respect of any Content (including any intellectual property embodied in it) which you access or obtain through the System. You agree that all enhancements and improvements to Content made available through the System are owned by Cochlear and you agree to assign them to Cochlear.
